End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) governs your use of all software, applications, tools, scripts, libraries, CLI utilities, authentication modules, infrastructure code, and related products (“Software”) provided by Fells Code, LLC (“Fells Code,” “we,” “us,” or “our”).

By installing, accessing, or using any Fells Code Software, you acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree, you may not use the Software.

1. License Grant

Fells Code grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business or personal purposes, subject to this Agreement.

This license does not grant you any ownership rights or rights to sublicense, distribute, or publicly expose the Software.

2. Restrictions

You agree NOT to:

  • Reverse engineer, decompile, or attempt to derive source code.
  • Modify, alter, or create derivative works without permission.
  • Sell, rent, sublicense, or distribute the Software.
  • Use the Software in any unlawful or harmful way.
  • Interfere with authentication, API usage, or protected components.
  • Remove, alter, or obscure Fells Code branding or notices.

3. Ownership

All intellectual property rights in the Software are owned exclusively by Fells Code, LLC. This Agreement does not convey any rights of ownership, title, or interest to you.

4. Updates & Changes

Fells Code may update, modify, or discontinue the Software at any time. Certain updates may be required for continued use. Updated versions may be provided under additional terms.

5. Beta Versions & Experimental Features

Fells Code may make Beta or experimental features available to users. These may be incomplete, unstable, or contain defects.

By using Beta features, you agree that:

  • The Software is provided “as-is” without warranty.
  • Errors, downtime, or data loss may occur.
  • You waive all rights to bring claims, disputes, or lawsuitsrelated to Beta usage.
  • Features may change or be removed at any time.

6. Security & Authentication

Some Fells Code products (e.g., Seamless Auth) involve authentication, secure credential handling, or cryptographic operations. You are responsible for safeguarding credentials, keys, and secrets generated by or used with the Software.

7. Data and Privacy

Use of the Software may require processing of personal or operational data. All data handling is governed by our Privacy Policy.

Fells Code does NOT sell, trade, or repurpose user data for marketing.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT ANY WARRANTY.

Fells Code disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uptime, accuracy, or error-free behavior.

9. Limitation of Liability

To the fullest extent permitted by law, Fells Code is not liable for:

  • Loss of data, revenue, or profits
  • Service outages or downtime
  • Security incidents caused by third parties
  • Indirect or consequential damages

For Beta features, experimental tools, and early-access releases, you agree NOT to pursue any legal action, claims, arbitration, or class-action suits against Fells Code.

10. Termination

Fells Code may terminate this Agreement if you violate its terms. Upon termination, you must cease all use of the Software and delete all copies in your possession.

11. Governing Law

This Agreement is governed by the laws of the State of Maryland. Any disputes must be resolved in Maryland courts.
